These terms and conditions (the “Terms”) govern your access to and use of Nanometrics Inc.’s (“Nanometrics,” “we,” “us,” or “our”) website (the “Website”).

BY ACCESSING OR USING THE WEBSITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT PERMITTED TO USE THE WEBSITE AND MUST CEASE ALL USE IMMEDIATELY.

By agreeing to these Terms, you also acknowledge and accept our Privacy Policy and Cookie Policy, which describe how we collect, use, and protect your personal information. 

1. Basis of Agreement

We may update these Terms from time to time at our sole discretion, and your continued use of the Website after such changes constitutes your acceptance of the new Terms. You represent that you are of the age of majority in your jurisdiction.


2. Grant of License

We grant you a limited, non-exclusive, non-transferable, and non-sublicensable license to use and access the Website for your internal use only. No other rights are granted to you.


3. Acceptable Use

You agree not to engage in any activity that could harm the Website, our business, or other users. This includes, but is not limited to:

These Terms commence when you first access the Website and continue until terminated. We may terminate these Terms at our convenience with notice, or without notice if you breach them. Upon termination, you must immediately stop using the Website.

The Website may contain links to third-party sites. We are not responsible for the content or privacy practices of these sites. All content and intellectual property on the Website remain our property or the property of our licensors.  Any feedback or suggestions you provide regarding the Website are non-confidential and become our sole property. We may use them for any purpose without acknowledgement or compensation to you.


6. User Responsibilities

If you have been provided with login credentials, you are responsible for maintaining their confidentiality and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your credentials.


7. Disclaimers and Limitation of Liability

The Website and its content are provided "as is," without any warranties. We do not guarantee that the Website will be uninterrupted or error-free, or that technical information (such as product specifications) is accurate or complete. To the fullest extent permitted by law, we are not liable for any direct, indirect, or consequential damages (including loss of data or profit) arising from your use of the Website. Your sole remedy for dissatisfaction is to stop using the Website. Our total liability will not exceed $100 CAD.

You agree to defend, indemnify and hold us harmless from any losses, damages, or claims arising from your use of the Website, any data you upload, your breach of these Terms, or your fraud, negligence, or willful misconduct.


9. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. You agree to the exclusive jurisdiction of the courts of Ottawa, Ontario.


10. General Terms

You agree to resolve any dispute on an individual basis and waive any right to participate in a class-action lawsuit. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms constitute the entire agreement between us regarding the Website. Our failure to enforce any right does not create a waiver of that right.
